The attorneys of Eizen Fineburg & McCarthy are committed to providing prompt, high-quality, cost-efficient legal services. Our firm is dedicated to a general law practice. In doing so, we provide a full range of legal services to individual and business clients. Our practice areas include: taxation; business and commercial law; business sales, mergers and acquisitions; real estate transactions; debt financing, equity capital and other commercial transactions; labor and employment law; wealth preservation and asset protection planning; wills, trusts and estates; civil, tax and administrative litigation and arbitration; shareholder, partner and other commercial disputes; bankruptcy and creditor/ lender workouts.

Our attorneys integrate many legal disciplines as general practitioners, and counsel clients on a broad range of legal issues. Our senior attorneys are each knowledgeable in the various areas of law facing most businesses and business owners. Therefore, in business transactions, for example, you need only contact one point-person in our firm, as opposed to several attorneys in various departments. This time-honored approach to the general practice of law allows us to provide efficient and effective counseling and legal services. Because of this unique approach to the practice of law, we have been referred to as "renaissance lawyers".
By employing this multi-disciplinary approach in our practice, our attorneys are exceptionally well equipped in today's legal environment to address complex matters. Our approach is designed to avoid the inherent delays and inefficiencies that result from requiring a coalition of attorneys with different and narrow fields of expertise to handle a single representation that one experienced general practitioner can handle. When specialized expertise is required, one or more of our attorneys is often qualified to provide that expertise. When necessary, for example with certain regulatory, securities, intellectual property or environmental cases, we associate with qualified, expert co-counsel. We also associate with co-counsel for litigation in jurisdictions in which our attorneys are not licensed to practice. Outsourced co-counsel work is monitored by us for quality control, cost-efficiency and result-oriented representation.
Most of our lawyers have post-graduate law degrees in taxation and/or experience at large accounting firms.
All of the principals of Eizen Fineburg & McCarthy have received the post-graduate law degree of "Master of Laws in Taxation". Most of our associate attorneys either have received or are pursuing this degree. Certain attorneys are certified public accountants and/or have experience with the large accounting firms. Many of our attorneys lecture on tax and legal topics to professional and business groups, are members of various bar, accountant and other professional associations and/or have written or edited for legal or accounting professional journals or for professional practice books.
Because of our tax training and attention to tax issues, we offer sophisticated tax and estate planning. We also are engaged as special co-counsel for tax and estate planning for high net-worth individuals or for specific transactions such as mergers, acquisitions, sales, marital dissolutions and employee compensation and benefit arrangements. We are proactive in structuring transactions to obtain significant state and local tax savings, in addition to our federal tax savings techniques. Our tax practice also includes the submission of requests for private letter rulings, and the negotiation and litigation of tax reporting issues with agencies including the Internal Revenue Service, United States Department of Labor and various state and municipal departments of revenue. Other law firms and many accounting and wealth management firms recognize our expertise in, and refer to us, tax and estate planning cases.
We are experts in business organization and wealth preservation, asset protection and estate planning.
Our attorneys combine extensive experience and specialized training in business, tax and estate planning to advise clients on the forms of entities in which to operate a business or own business or investment property, and whether to use tiered and/or other affiliated arrangements in holding businesses or other property interests. We prepare shareholder, partnership, and limited liability company operating agreements and other forms of restricted equity ownership and buy-sell agreements. Our foreign, state and local income tax expertise provides added guidance regarding where to organize a business.
For entrepreneurs and other closely held or family companies, we provide this depth of experience and legal expertise for their business, personal and family needs. Our attorneys are very experienced in working with clients who desire to not only focus on building and preserving their wealth but also wish to pass their estates and assets to their children, grandchildren, key employees or charitable beneficiaries at minimum tax and transfer costs. Our planning for individuals and families includes wealth preservation and asset protection planning; gift and estate planning; death tax liquidity planning; the preparation of trusts and wills; and the administration of estates and trusts of all types including short-term and dynasty trusts, as well as domestic and off-shore trusts.
Litigation
The firm has a successful and experienced team of litigators concentrating on civil litigation in trial and appellate practice in federal, state and municipal courts, as well as arbitration and administrative proceedings. Some of the areas in which our attorneys most frequently litigate include: commercial litigation of all types; disputes among business owners; construction and real estate litigation; employment law (including ERISA, wage payment, discrimination, sexual harassment, employment contracts, restrictive covenants and protection of trade secrets); products liability, personal injury and medical malpractice; insurance and coverage disputes; and intellectual property infringement.
Our Business Clients
Our business clients include family-owned businesses, professional groups, entrepreneurs and select representation for widely held and publicly traded corporations and their executives. Representative clients include manufacturers (including electrical products, paper goods, beer, auto components, paints, and windows), real estate developers of commercial and residential properties, construction contractors, banks, wholesalers and retailers (including clothiers, automobile and truck dealers, bakeries, pharmacies and insurance products), restaurateurs, broadcasters and recording studios, professional groups (such as doctors, engineers, and accountants), high-tech industry companies (including new technologies such as biometric personal identification systems), building product suppliers, not-for-profit organizations, and nursing, skilled care, and assisted living facilities. We represent financial institutions as lenders and companies as borrowers.
In today's complex legal environment, we advise clients on how to negotiate and implement an advantageous business structure so they can acquire, operate, and own properties and businesses, and manage associated financing. We understand both sides of a financial transaction, having represented both borrowers and lenders and both buyers and sellers of businesses and properties including complex equity investment transactions. Moreover, many of our attorneys have been members of management teams for various types of businesses prior to joining our firm. We understand business and know how to apply the law to best meet the needs of business owners and entrepreneurs.
General Counsel Services
A number of our business clients retain us as their general counsel. These arrangements help our client's budget and control legal costs and improve two-way communication and responsiveness. Many of our clients will have us attend planning, director, committee or executive meetings, get us involved earlier in operational, employment or credit disputes, or promote more frequent exchanges among its key personnel, or its independent accountants or other professionals. Our in-depth knowledge and understanding of the history, nature and structure of the client's business organization, and the industry in which it operates, allows us to offer prompt counseling and legal advice within the parameters of those specific contexts.
Our Individual Clients
We also represent many clients as individuals, serving their personal needs for legal advice and support. Our estate planning attorneys help our high net-worth individual clients protect their families and their assets arising from years of hard work in wealth building. We represent numerous high net-worth individuals for wealth preservation, asset protection, and estate planning.
Many of our clients desire to not only focus on building and preserving their wealth, but also wish to pass their estates to their children, grandchildren, key employees, or charitable beneficiaries with minimum tax and transfer costs. Our attorneys integrate several legal disciplines to advise individuals and their families regarding estate and gift planning, preparation of wills and trusts, and asset protection and conservation.
The cadre of tools available include, among other techniques, family partnerships, family buy-sell agreements for businesses and real estate, tax-free sales to defective grantor trusts, life insurance and retirement benefit planning, family private annuity transactions and qualified private residence trusts.
